1. Introduction

BoardRounds, Inc. d/b/a Concierge Stat (“us,” “we,” "BoardRounds," or "Concierge Stat") is committed to respecting the privacy rights of our customers and users. We created this privacy policy to help you understand the ways in which we protect your personal information and to demonstrate our commitment to your privacy.

BY USING THE SITE, SERVICES, AND/OR BY REGISTERING WITH US, YOU ACCEPT THE PRACTICES AND POLICIES OUTLINED IN THIS PRIVACY POLICY, AND YOU HEREBY CONSENT THAT WE WILL TRACK, COLLECT, USE, AND SHARE YOUR INFORMATION IN THE FOLLOWING WAYS. IF YOU ARE REGISTERING AN ACCOUNT OR USING THE SERVICES ON BEHALF OF AN INDIVIDUAL OR ENTITY OTHER THAN YOURSELF, YOU REPRESENT THAT YOU ARE AUTHORIZED BY SUCH INDIVIDUAL OR ENTITY TO ACCEPT THIS PRIVACY POLICY ON SUCH INDIVIDUAL'S OR ENTITY'S BEHALF.

2. Website Data Collected

When you visit our website, we automatically track and collect information including IP addresses, domain servers, types of computers accessing the site, types of web browsers accessing the site, the referring source which may have sent you to our website, and other information about how you use and interact with our site.

3. Cookies

We may use small computer files that are transferred to your computer's hard drive that contain information such as user ID, user preferences, and information about your use of our services (“Cookies”) to help us improve the services we provide to you.

4. Website Analytics

We use third party website analytics on our site to record mouse clicks, mouse movements, scrolling activity, as well as any text that you type into the Site.

5. Personal Information Collected

We collect certain information that personally identifies you ("Personal Information") to provide you with our services. Personal information includes (1) contact data (such as your name, email address, phone number); (2) demographic data (such as your gender, date of birth, zip code, neighborhood, occupation); (3) insurance data (such as your insurance carrier and insurance plan); (4) medical data (such as previous hospitals or doctors you visited, diagnosis and treatment information, history of present illness, past medical history, medications, allergies); and (5) other data that personally identifies you (such as audio recordings and signatures).

6. Use of Your Information

We may use your Personal Information to provide our services, including arranging appointments or transportation. We may use your contact information to aid in scheduling these services or to remind you of appointments or other upcoming services. We may use your demographic data, insurance data, or medical data to customize our services to your needs. We may use your Personal Information to create De-Identified Data and use such De-Identified Data for any purpose, including to generate statistical reports or conduct research in an anonymous manner. “De-Identified Data” means data that is not associated with or linked to your Personal Information.

We may share your Personal Information with your current or prospective health care providers and insurance providers and our third party service providers in order to: provide you with the services that we offer you through our website or mobile application; to conduct quality assurance testing; to facilitate creation of accounts; to provide technical support; and/or to provide other services.

We may share some or all of your Personal Information with our parent company, subsidiaries, joint ventures, or other companies under a common control (“Affiliates”), in which case we will require our Affiliates to honor this Privacy Policy. If another company acquires our company, business, or our assets, including in the event of our bankruptcy, that company will possess the Personal Information collected by us and will assume the rights and obligations regarding your Personal Information as described in this Privacy Policy.

Regardless of any choices you make regarding your Personal Information (as described below), we may disclose Personal Information if we believe in good faith that such disclosure is necessary (a) in connection with any legal investigation; (b) to comply with relevant laws or to respond to subpoenas or warrants served on Company; (c) to protect or defend the rights or property of BoardRounds or users of the services; and/or (d) to investigate or assist in preventing any violation or potential violation of the law, this Privacy Policy, or Terms of Use.

7. Sources of Data

In some cases, individuals share information with BoardRounds directly through our mobile application or text message service. In these cases, as a direct user of our services, our privacy obligations to that individual are limited to those stated in this Privacy Policy.

In other cases, healthcare providers share information with us to receive a set of services distinct from those we provide to individuals. Those healthcare providers may be Covered Entities as defined by the Health Insurance Portability and Accountability Act (“HIPAA”). As defined by HIPAA, Covered Entities may share Protected Health Information with us as a Business Associate. When acting as a Business Associate, we additionally maintain the privacy standards mandated by the HIPAA Privacy Rule.

8. Deletion of Personal Information & Storage

You may request deletion of your Personal Information by us, but please note that we may be required to keep this information and not delete it (or to keep this information for a certain time, in which case we will comply with your deletion request only after we have fulfilled such requirements). When we delete any information, it will be deleted from the active database, but may remain in our archives. We may retain your information for fraud prevention or similar purposes. Once we disclose any of your Personal Information to third parties, we cannot access that Personal Information any longer and cannot force the deletion or modification of any such information by the parties to whom we have made those disclosures. After we delete Personal Information, we will retain De-Identified Data and will continue to use the De-Identified Data as permitted under this Privacy Policy.

9. Information Provided on Behalf of Children

BoardRounds does not collect information from children under the age of 13 in accordance with the Children’s Online Privacy Protection Act (“COPPA”). If you are a parent or legal guardian of a minor child, you may use the services on behalf of such minor child. Any information that you provide us while using our services on behalf of your minor child will be treated as Personal Information as described within this Privacy Policy.

10. Healthcare providers

Healthcare providers including doctors, dentists, their employees, and their agents should be particularly aware of their obligations of patient confidentiality, including without limitation their obligations under the Health Insurance Portability and Accountability Act (“HIPAA”) in communicating with BoardRounds. BoardRounds does not have, and will not accept, any obligations of confidentiality with respect to any communications other than those expressly stated in this Privacy Policy or other written agreement between BoardRounds and you.

11. Security

We follow generally accepted industry standards to protect your Personal Information, and have adopted safeguards that are legally required. For example, we encrypt Personal Information using secure socket layer technology (“SSL”).

Although we make good faith efforts to secure your Personal Information, we do not guarantee that there will be no unintended disclosures of that information. If we become aware that your Personal Information has been disclosed in a manner not in accordance with this Privacy Policy, we will use reasonable efforts to notify you of the nature and extent of the disclosure (to the extent we know that information) as soon as reasonably possible and as permitted by law. To the extent that we are legally required to notify you following a breach of certain of your Personal Information, we will comply with our legal requirements.

12. Updates and Changes to Privacy Policy

This Privacy Policy is subject to occasional revision, and if we make any material changes in the way we use your Personal Information, we will notify you by sending you an e-mail to the last e-mail address you provided to us and/or by prominently posting notice of the changes on our Site. Any changes to this Privacy Policy will be effective upon the earlier of thirty (30) calendar days following our dispatch of an e-mail notice to you or thirty (30) calendar days following our posting of notice of the changes on our Site. These changes will be effective immediately for new users of our Service. If you do not wish to permit changes in our use of your Personal Information, you must notify us prior to the effective date of the changes that you wish to terminate your Account with us. Continued use of our Site or Service, following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
